What Ever Happened to Michael Henson?

“What ever happened to Michael Henson?”

I’ve been asked this question countless times. I’ve been asked this question loudly, quietly, surreptitiously, obviously, outside of concert halls, inside of concert halls, in moving cars, in non-moving cars, and, most recently, in the lobby of the Madison Concourse Hotel in Madison, Wisconsin, during a personal vacation that was not Minnesota Orchestra related whatsoever.

I’ve always been vague because I didn’t know the answer ( “um, consulting work…I guess”). (And the Pulitzer for best investigative blogging goes to…) But as long as I’m happy with the direction in which the Minnesota Orchestra is going, and I am, I don’t really care what its former leader is up to. Yes, the question of his whereabouts is interesting to think about in the abstract, but any answer you might uncover has little practical use. If bread is square, why is sandwich meat round? That’s an interesting question, too. But it only does you so much good to think about it.

That said, some new intelligence recently landed in my lap in the form of Michael Henson’s LinkedIn profile.

Bad News, Good News

In case you missed the news, the Minnesota Orchestral Association has promoted Kevin Smith from Interim CEO to Actual CEO. He’s staying until the end of the 2017-2018 season (at least), and he will be negotiating both Osmo’s and the musicians’ new contracts. The board voted unanimously to keep him.

I haven’t met Mr. Smith yet, but nearly all of my musical friends have, and I’ve heard nothing but good about him. A few things are abundantly clear. He knows what he’s doing. He knows the Twin Cities. He has years of experience under his belt. And, perhaps most importantly of all, he listens. Stakeholders respect this man. When he has to make the tough decisions that lie ahead, I may not always agree with his choices, but I will respect them, and I will know that he is working for the good of the organization and the art form and the community. You can’t buy that kind of trust.

In fact, if I had to choose what’s the bigger news, Osmo’s rehiring or Kevin’s promotion… I’d probably go with Kevin’s promotion. And you all know how thrilled I was that Osmo was re-hired. So you can guess how excited I am about Kevin.

But wait. As the infomercials say, there’s more. In an interview the other night on Almanac, when asked if Osmo’s contract would be renewed, Smith said:

We are talking about that. I would hope and expect, yes.

I would hope and expect, yes.

It’s a tribute to how far we’ve come that this quote isn’t plastered all over blogs and Twitter and Facebook and Strib articles.

I think most people would agree that

  1. the chances of a second lockout have declined precipitously
  2. we just might be looking at a fair musicians’ contract extending until approximately 2020, and
  3. the Osmo era is likely going to continue.

It’s looking like the Minnesota Orchestral Association has entered its own Era of Good Feelings. And I’m on board with that.

So it might be time to bid a fond farewell to the Song of the Lark Outrage Machine. The Outrage Machine ran fast and hard for a very long time, fueled by the spittle from my flail-y freak-outs and the sarcasm of animated GIFs. But between Kevin Smith’s hiring and the Atlanta Symphony lockout ending, it looks like outrage is going out of style. Which is great.

It’s just too bad I can’t take the Outrage Machine out for a final spin to commemorate old times and old scandals.

Unless…

Somehow… somewhere… some news could break about the Era of Bad Feelings.

But, no. That’s impossible. Michael Henson has been gone from the Minnesota Orchestra for months now. His vision – or maybe that’s “myopia” – has been thoroughly repudiated by all. Surely there’s no new news left about his tenure…

Henson Out

Michael Henson will be leaving the Minnesota Orchestral Association at the end of this fiscal year. Here’s the MinnPost story.

Perhaps surprisingly, I find I don’t have much to say.

In some ways, our relationship, such as it was, felt like a weird chess game. (Albeit one Mr. Henson never acknowledged he was playing. Or believed he was playing.) Nonetheless, moves were made…and a lot of people ended up watching. He’d testify in front of the legislature; I’d write a blog entry dissecting his testimony. He’d quote talking points in an outrageously misleading press release; I’d send him a sparkly homemade Advent calendar (as you do). And later, once Save Our Symphony and other groups and other writers got in on the game, the chessboard, along with the number of pieces, expanded exponentially. Action, reaction, etc., for eighteen long hard-fought months.

As the game begins to wind down, I survey the chessboard. In an appropriately bizarre ending to an equally bizarre game, I find I have approximately zero interest in complaining about Michael Henson today. At this point, his record speaks for itself. Quite loudly. And heck, truth is, I owe a lot to this man. More than he’ll ever know, certainly.  I owe my attendance at a lot of great lockout concerts to him. I owe a lot of new firsthand knowledge about how government and non-profit processes work to him. Without Michael Henson, Alex Ross would not know I exist (please note: I am still extremely pumped about the fact that Alex Ross knows I exist). But most importantly of all, I owe readers – and therefore friendships – to him. I’m so lucky to have you, my readers, as my friends. You are irreplaceable, and to be honest, I don’t remember what life was like without you. Without him, I wouldn’t have you. Michael Henson may be leaving Minnesota via golden parachute, but I walk away from the game the richer woman. By far. So thanks. Seriously. Bon voyage, Mr. Henson. I’ll be watching your career with ~great interest.~

So. Where do we go from here?

Mr. Henson’s departure is a big step in the right direction, but there is still a lot of work left to be done. I feel an odd kinship to the poor besieged Concorde in Airport: 79. We’ve evaded drones, dodged F-15s, and the landing strip is now in sight. On the other hand, there are gaping holes in the plane that have caused explosive decompression. But! This week’s news, and the potential change of organizational direction it could possibly theoretically maybe? signify, means that despite everything we’ve been through, we still might be able to land this thing. That’s not nothing. I’ll continue my volunteer work behind the scenes. I hope you continue to do what you can, too, whether that means writing comments online, sharing information with friends and family, buying tickets, etc. Even just staying informed is an important thing to do.

I think the moral of the saga is: Minnesota Orchestra leaders, listen to your audience and to the community both. Listen closely. Because we’re watching you, every little thing you do, and if you try taking any step that we feel goes against this organization’s best interests, forgive us when we trip you up. And if you do the right thing? We will help you. With everything we’ve got, 100%. A community of passionate people is a lot easier to work with than against.

So. Onward to the Grammy celebration concerts! What celebrations they’ll be, too! (Remember to wear blue and white, as per the instructions of Save Our Symphony Minnesota’s Finnish It Campaign!) Of course nothing is guaranteed, but my fingers are crossed that another big announcement might come soon. It would be quite the surreal ending to an extraordinary chapter of American music history…

Michael Henson’s Massive Bonuses

Minnesota Orchestra CEO Michael Henson saw two massive bonuses as he was planning for his musicians’ major work stoppage, totaling $202,500.

This information comes courtesy of the 990 that covers the time period between 1 September 2011 and 31 August 2012. It was recently quietly posted on Guidestar.org. This document is not on the Minnesota Orchestra’s website, so you will have to go to Guidestar.org to see it.

Henson took home $386,916 in base compensation – $202,500 in bonus and incentive compensation – $9,800 in retirement and other deferred compensation – and $20,097 in non-taxable benefits for a grand total of $619,313.

Michael Henson’s bonus amount in Part II, Section B, Column 2 consists of bonuses for two separate fiscal years that were paid in the same calendar year. The bonus for fiscal year 2011 was paid in March 2011 and the bonus for fiscal year 2012 was paid in December 2011. Per IRS regulations, this schedule was filled out based on the calendar year 2011.

For comparison’s sake, here are some other American orchestras by budget – their expenses – who their executive directors are – how much they were compensated – and what percentage of the budget their compensation is.

Here are orchestras who haven’t yet publicized their 2012 990. This is from FY 2011.

Los Angeles Philharmonic – $103,925,230. Deborah Borda – $1,602,228 – 1.5%

New York Philharmonic – $68,400,555. Zarin Mehta – $887,401 – 1.3%.

And here are orchestras who have publicized their 2012 990.

Boston Symphony – $85,844,758. Mark Volpe – $622,938 – 0.7%

Chicago Symphony – $80,055,672. Deborah Rutter – $577,189 – 0.7%

San Francisco Symphony – $78,338,012. Brent Assink – $638,857 – 0.8%

Philadelphia Orchestra – $57,182,000. Allison Vulgamore – $610,446 – 1.1%

Cleveland Orchestra – $51,298,527. Gary Hanson – $584,498 – 1.1%

St. Louis Symphony – $26,597,756. Fred Bronstein – $394,572 – 1.5%

Houston Symphony – $25,817,059. Mark Hanson – $295,979 – 1.1%

Baltimore Symphony – $25,116,360. Paul Meecham – $261,843 – 1%

The Pittsburgh Symphony, Dallas Symphony, and Indianapolis Symphony were in a time of leadership transition so I left them out.

The Minnesota Orchestral Association’s expenses were $32,908,241. Mr. Henson’s compensation was $619,313… or 1.9% of expenses, roughly double the rate of other orchestras.

Edit, 1pm: The entry was altered. I – and my proofreaders! – made a (rather embarrassing) decimal error in calculating the percentages above. Apologies. But the point of the entry still stands.

As everyone who has been following the lockout knows, the Minnesota Orchestra posted a six million dollar deficit in FY 2012. Michael Henson’s compensation and bonuses would account for a full tenth of a six million dollar deficit.

2013 Symphony Ball

Well, before the story moves on and my memories become completely irrelevant, here are my thoughts on the 2013 Symphony Ball – or, to be more precise, the rally that Save Our Symphony Minnesota planned and executed during the 2013 Symphony Ball.

To my intense irritation, the media played up our gathering like they were expecting a second Haymarket Riot. The New York Times sported the headline MINNESOTA ORCHESTRA PLANS GALA; DISSONANCE IS EXPECTED. One local television station warned of an upcoming “tense protest.” WCCO called it “a situation.” People on Facebook said that things could “get ugly.” A politician even Tweeted that he was excited to mock us. It was ridiculous, especially since I’d sat in on conference calls with my fellow SOSMN volunteers, and I’d heard firsthand how they’d spent untold hours planning the event and mapping out messaging. They could not have made it any clearer in their media advisories and press releases that this was meant to be a peaceful celebratory rally led by audience advocates. Of course, this angle was the focus of approximately none of the mainstream media’s coverage.

Jon Stewart once said in an interview:

The bias of the mainstream media is toward sensationalism, conflict, and laziness.

There may be something to that.

I chose to wear evening dress (albeit with leg warmers, two layers of socks, and long underwear). After I got dressed, a friend brought me to the hall, and my mom and I walked around the block, taking in the scene. A large crowd had already gathered around Peavey Plaza, which looked like a combination circus, prison, and ShopKo garden center. There were tents, guards, and shrubberies. A tented sidewalk extended out from the hall’s main entrance, made a sharp turn to the left, and drained down to the empty Peavey Plaza fountain, which now was the location of a Symphony Ball tent, in which exciting activities would no doubt take place (dinner? dancing? dozing?). The tents didn’t have any windows, but there was a plastic French door on the Twelfth Street side that bravely attempted to add elegance to the proceedings. Generators buzzed near the sidewalks with massive cords leading into the great white tent. What were they for? Lighting (a blue hue eventually began glowing from the ceiling)? Heaters? A DJ booth? Endless possibilities! Parked next to the generators were trucks full of wine bottles. Caterers were unloading them. They were dressed like stewards on the Titanic.

Analysis, Withdrawn

From Minneapolis, Minnesota, the flash – apparently official – Michael Henson’s sanity died at 5pm Central Standard Time yesterday.

Yeah, the MOA suddenly decided to withdraw from financial and organizational analysis yesterday afternoon because, after months of discussion, the board couldn’t stomach the proposed terms. From this MPR article

Orchestra President Michael Henson says the orchestra board decided to move forward on its own when the musicians insisted the scope of the analysis extend beyond simple finances.

“And unfortunately we began to see those parameters expand to include an examination of our artistic decision-making process and the quality and effectiveness of the board,” Henson said this afternoon. The board decided to move on with an analysis on narrower terms.

However musicians say management has stepped out of line. They say management and musicians had agreed to a framework for the study. Then the players say management wanted the following language inserted in the agreement. “It is understood that this financial analysis/review is not intended nor will it encompass subjective matters such as the artistic quality of the music director or the musicians, the comparative quality of other orchestras, programming decisions, performance of management or staff, or board quality/competency.”

The musicians objected to this language, and said so.

Tim Zavadil, chair of the Musicians Negotiating committee says the examining the artistic decisions, board performance and making the comparisons with other orchestras is what makes this an analysis as opposed to an audit.

He says the musicians were under the impression they were still talking about how to do the analysis and he was flabbergasted to hear management has decided to go ahead on its own instead of together with the musicians.

“That would be the best way to go, to do it jointly,” Zavadil said this afternoon. “I am sure if we did one they would say well that’s just one that the musicians did on their own. I don’t know what our response will be if they release this information.”

Mr. Henson Talks to MinnPost

Minnesota Orchestra CEO Mr. Michael Henson, apparently emboldened by the SPCO’s recent settlement-ish-y thing, has broken a silent stretch and trotted over to MinnPost to give an interview. So let’s take a look at what he has to say!

An hour after the St. Paul Chamber Orchestra announced a tentative contract settlement with its locked-out musicians on Wednesday, Michael Henson, president of the Minnesota Orchestra, expressed cautious hope his orchestra’s locked-out musicians would respond in kind, with an offer to start negotiating a new contract.

The Minnesota Orchestra locked out 95 musicians Oct. 1 after their union rejected a proposal to reduce base salaries by 32 percent.

They’ve been moving away or retiring so quickly, Mr. Henson can’t replace them fast enough, or else he doesn’t want to; when the lockout began in October 2012, according to my calculations, there were only 81 musicians on the roster. Now there are only 77. Every month we lose more. Does Mr. Henson not know how many people are in his orchestra?

Putting Michael Henson Under the Microscope

This February, Minnesota Orchestra CEO Michael Henson was thrust into the international spotlight like never before. He became a recurring character on Norman Lebrecht’s widely read blog Slipped Disc (“Michael Henson and his board continue, against all logic, to defend their lockout” – “a cultural tragedy, scripted by a pair of tough-talking boards and feeble managements” – “we have received a recording of Michael Henson’s stumbling appearance before the state legislature in Minnesota“). Alex Ross of The New Yorker opined, “The management and board in Minnesota need to think long and hard about what they are doing.” On another New Yorker blog, Russell Platt wrote that “Michael Henson, the Minnesota Orchestral Association’s C.E.O., seems determined to put his foot in it.” Orchestra blog Adaptistration ran a “Most Bush League CEO” competition, which Henson won by a country mile (as of this writing, with 77% of the vote). Closer to home, MinnPost was critical of the attitude Mr. Henson took regarding the neutral Grammy concert put on by Mayor Rybak and Judy Dayton, and state legislators were obviously skeptical of Mr. Henson’s testimony.

Especially in light of the massive cuts in compensation that Mr. Henson is proposing for Minnesota Orchestra musicians (thirty to fifty percent), many of my readers have wondered if he has also taken substantial cuts. So I ran some numbers for you…
